Jeff Schwaber will speak at the 2012 Business Law Institute, the annual signature program of the MSBA Business Law Section for experienced practitioners. He will be speaking on the uses and abuses of derivative actions in corporations, LLCs and other limited liability entities in Maryland. This includes the nuts and bolts of tactical issues that confront a plaintiff and defendant in addressing the internal affairs in Maryland corporations.

Agenda:

  • The Nuts and Bolts of Tactical Issues that confront Plaintiff and Defendant in addressing  the Internal Affairs of Maryland corporations: Can there now be demand futility?
  • What language should be in a demand?
  • What constitutes a response? What constitutes a failure to respond?
  • Who are the Independent Directors, and from where do you find them?
  • What Procedures should you follow?
  • Involvement by Maryland Courts in the affairs of foreign corporations… cases and distinctions.
  • Differences in the manner in which Delaware and Maryland courts approach derivative matters after Boland
