Civil litigation attorney Jeff Schwaber will be speaking at the 2016 Maryland State Bar Association Advanced Business Law Institute. He will co-lead with The Honorable Anne K. Albright a session on "Shareholder Oppression and Breach of Fiduciary Duty in Maryland in the Aftermath of Edenbaum and Bontempo" on Thursday, April 14, in Columbia, Maryland.
The session will explore how two recent Maryland cases, Edenbaum v Schwarcz-Osztreicherne and Bontempo v Lare, have broadened the concept of "oppression" of a minority shareholder, as well as available remedies for an oppressed minority shareholder, short of dissolution. Mr. Schwaber, offering his perspective from the courtroom, and Judge Albright, offering hers from the bench, will also address how decisions in these cases affect attorneys drafting operating agreements and pursuing claims involving existing agreements.
